250 for the 250th Terms and Conditions 

  

The Society of American Archivists (“SAA”) is pleased to include the textual documents, images, graphics, tables, charts, visual works, other works, and metadata submitted via Preservica (collectively, “Submission”) in the project SAA 250 for the 250th. 

By uploading the Submission, you agree to the following terms and conditions. If you do not agree, exit now and do not upload your submission. 

Submission 

  1. You grant and license to SAA a fully paid-up, irrevocable, perpetual, worldwide, royalty free, non-exclusive license to use, edit, adapt, reproduce, disclose, publish, display, create derivate works of, and advertise the Submission, in whole or in part, in any and all forms of media now known or hereafter devised, without further notification or permission.  You further grant SAA the right to view, modify, remove, or replace copyright management information. You retain all copyright, title, and ownership of the Submission.  
  2. You are the sole owner of the Submission and have the right to grant the permissions in these Terms and Conditions and waive any moral rights you may have in the Submission.  
  3. You represent and warrant that no third party has any claim to any trademark, patent, or proprietary interest in the Submission.  
  4. The Submission contains no matter which is unlawful or which invades or infringes any copyrights, trademarks, rights of privacy, rights of publicity, moral rights, or other intellectual property rights of any person or entity.  
  5. You have the right to license the copyright in the Submission and affirm that no right to the Submission has been previously assigned or exclusively licensed.  
  6. The consent of no other person or entity is required to enable SAA to use the Submission.  
  7. The Submission has not been created, generated, or derived in whole or in part using generative AI technologies.  
  8. The Submission is correct and accurate to the best of your knowledge. 
  9. You agree to defend, hold harmless, and indemnify SAA from any claims brought by a third party against SAA to the extent based on an allegation that the Submission infringes any U.S. patent, copyright, trademark, trade secret, or other proprietary right of a third party.  

 

Use of the Site 

  1. SAA makes no representation or warranty of any kind concerning reliability or accuracy of information provided directly or indirectly on or through https://www2.archivists.org/groups/america250-task-force/250-for-the-250th,https://td52e01bc4f4b6253.starter1ua.preservica.com/portal/en-USor its related sites. All information is provided on an 'as-is' basis. Users of this site do so at their own risk.  
  2. SAA makes no representation that the https://www2.archivists.org/groups/america250-task-force/250-for-the-250th,https://td52e01bc4f4b6253.starter1ua.preservica.com/portal/en-US, or sites that may be linked to it are free of error. You must evaluate and bear all risks associated with the use of this site and any content contained on the site, including any reliance on the accuracy, completeness, or usefulness of such content. You understand that SAA is not, for any reason, responsible for any error in the transmission of information which you post on this site.  
  3. SAA shall, under no circumstances, be liable for any direct, indirect, incidental, special, punitive, or consequential damages that may result from the use of this site, including, without limitation, use or reliance upon any information contained on this site, interruptions, errors, defects, omissions, non-delivery of information, disclosure of communications, or any other failure of performance of any kind.  
  4. You agree to release SAA, its members, directors, and employees from all claims, causes of action, lawsuits, liability, damages, or other responsibility, known and unknown, anticipated or unanticipated, from the beginning of time until the present, arising out of your use of any SAA website or the content contained therein. If you are a resident of California, you hereby agree to waive section 1542 of the California Civil Code which provides as follows: 'A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.’ 
  5. You agree to indemnify SAA, its members, directors, and employees and hold them harmless from any damages, costs, claims, liabilities, or expenses (including reasonable attorneys' fees and related costs) arising out of or relating in any manner to your (i) violation of this agreement; you violation of law; or (iii) your use of the https://www2.archivists.org/groups/america250-task-force/250-for-the-250th,https://td52e01bc4f4b6253.starter1ua.preservica.com/portal/en-US. 

 

These terms and conditions shall be governed by, construed, and enforced in accordance with the laws of the State of Illinois without regard to conflict of law principles. Jurisdiction and venue for all disputes shall be the Circuit Court located in Cook County, Illinois, or the federal district court for the Northern District of Illinois.
