The duty to preserve records arises from the same sources as the duty to create them: statute, regulation, and contract. When the records relate to litigation or potential litigation an additional duty arises to preserve relevant material. Once records become relevant to a legal dispute, the fact that there was no duty to have created them in the first place becomes irrelevant.
